Circona ERP — CIRCONA TECHNOLOGIES Ltd
These terms govern the use of Circona ERP (the "Service") provided by CIRCONA TECHNOLOGIES Ltd ("Circona", "we"), a company registered in England and Wales, company number 14299970, registered office 17 King Edwards Road, Ruislip, London HA4 7AE, United Kingdom. By creating a company account or using the Service you agree to them on behalf of the company you represent (the "Customer").
Circona ERP is a cloud accounting and operations system for beverage producers and distributors: sales and purchase documents, inventory, a double-entry ledger, VAT and excise reporting, and bank statement import. We may improve or change features over time; we will not remove a core function without reasonable notice.
The Customer is responsible for the users it invites, for keeping credentials confidential, and for everything done under its accounts. Users must be authorised by the Customer to act for it, including to connect bank accounts.
3.1 Bank account information is obtained through Enable Banking Oy, a licensed Account Information Service Provider, only after an authorised user gives explicit consent at the bank. The Customer confirms that anyone who connects an account on its behalf is entitled to share that account's data with the Customer's bookkeeping.
3.2 The connection is read-only. The Service does not initiate payments from connected accounts.
3.3 Access lasts for the period granted by the bank and must be renewed by the Customer. The Customer can revoke it at any time in the Service or at the bank. Imported statement lines remain part of the Customer's accounting records.
3.4 We are not responsible for the availability, accuracy or completeness of data delivered by a bank or by Enable Banking, nor for interruptions caused by them.
4.1 The Customer owns its business data. We process it only to provide the Service, as described in the Privacy Notice.
4.2 The Customer is responsible for the correctness of the records it keeps, for reviewing what the Service proposes (including AI-generated suggestions and automatic bank-line matches) before posting to the ledger, and for its own tax and statutory filings. The Service is a tool; it does not give accounting, tax or legal advice.
4.3 The Customer must not use the Service unlawfully, upload malicious content, attempt to access other tenants' data, or resell the Service without our agreement.
Fees, if any, are those agreed in the Customer's order or plan. Bank connections through Enable Banking may be subject to per-connection charges shown before the Customer enables them. Prices are exclusive of VAT.
We aim for continuous availability but do not guarantee it. Planned maintenance is announced in advance where practicable. Support is provided through the in-app ticket system and by e-mail to alex@circona.io.
Each party keeps the other's confidential information confidential. We apply the security measures described in the Privacy Notice. The Customer must notify us without delay of any suspected unauthorised access.
To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or loss caused by data supplied by third parties (including banks and Enable Banking). Our total liability under these terms in any 12-month period is limited to the fees the Customer paid for the Service in that period. Nothing limits liability for fraud, wilful misconduct or where the law does not allow limitation.
These terms apply for as long as the Customer has an account. Either party may terminate with 30 days' notice. We may suspend or terminate immediately for serious breach. After termination the Customer may export its data for 30 days; thereafter we delete it, except what we must keep by law.
We may update these terms; material changes are notified in the application at least 30 days in advance. Continued use after that date is acceptance.
These terms are governed by the laws of England and Wales. Disputes are settled by the courts of England and Wales, unless mandatory law in the Customer's country provides otherwise.
